Individuals or groups wishing to operate as corporations in British Columbia are required under the British Columbia Company Act to file the appropriate forms with the British Columbia Corporate and Personal Property Registries .
Before you begin your British Columbia company incorporation online there are a few things that you are going to need to know and/or have access to.
- A credit card
- Your proposed company name
- At least one physical address in British Columbia for your company registered address
- The full names and residential addresses of your director/s
- If you intend to apply for a company business number during the incorporation process, you will need the social insurance number of at least one director
- An active email address
- A computer that is installed with PDF reader software (e.g. Adobe Acrobat Reader 4.0 or above)
Forming a British Columbia company involves three main steps:
Step 1 Name Approval
All business entities require approval of proposed name prior to company registration in British Columbia. BC Corporate and Personal Property Registries is responsible for the approval of company names.
We will do this step as a part of our British Columbia company incorporation service.
The general rules for choosing a British Columbia company name are:
* must not be identical or too similar to another business' name
* must not infringe registered trademarks or patents
* must not be offensive or vulgar in any way
Company names that contain words like Bank, Finance Company, Insurance, School, University, Travel Agent, Media, etc. must first be approved by the provincial Company Registration regulatory authority before they can be used.
If the name of the company is to be its incorporation number, for example 123456 B.C. Ltd; a British Columbia name search report, is not required and the number will be assigned at the time of incorporation.
Step 2 Filing Articles of Incorporation
Once you've reserved a company name, you can proceed to register your company and file articles of incorporation. Articles of incorporation are legal documents that establish your business, and must be approved by Alberta registries office before you do business under that business name.
If your articles of incorporation meets the current legislated requirements established by the British Columbia Company Act, the British Columbia Corporate and Personal Property Registries Office, will process the request and issue you a British Columbia certificate of incorporation.

Step 3 Your Documents
Once your company have been successfully incorporated, you will be emailed in PDF format your certificate of incorporation, articles of incorporation, and your FREE Minute Book ($99.00 Value) that includes all the necessary documents you will need to keep your new corporation up-to-date and in compliance with your provincial corporations act.
This Minute Book includes documents such as:
- Organizational Minutes - covering the election of directors and officers, issuing shares, the form of share certificates and fixing the number of directors.
- Corporate By-Laws which sets out the organization of the corporation, including the powers and election of directors and officers, filing vacancies, holding meetings of shareholders and directors, required notice periods, setting the fiscal year end and the execution of documents.
