Individuals or groups wishing to operate as corporations in New Brunswick are required under the New Brunswick Business Corporations Act to file the appropriate forms with the New Brunswick Corporate Affairs Branch .

Before you begin your New Brunswick company incorporation online there are a few things that you are going to need to know and/or have access to.

  • A credit card
  • Your proposed company name
  • At least one physical address in New Brunswick for your company registered address
  • The full names and residential addresses of your director/s
  • If you intend to apply for a company business number during the incorporation process, you will need the social insurance number of at least one director
  • An active email address
  • A computer that is installed with PDF reader software (e.g. Adobe Acrobat Reader 4.0 or above)

Forming a New Brunswick company involves three main steps:

Step 1 Name Approval

All business entities require approval of proposed name prior to company registration in New Brunswick. New Brunswick Corporate Affairs Branch is responsible for the approval of company names.

The general rules for choosing a New Brunswick company name are:

* must not be identical or too similar to another business' name
* must not infringe registered trademarks or patents
* must not be offensive or vulgar in any way

Company names that contain words like Bank, Finance Company, Insurance, School, University, Travel Agent, Media, etc. must first be approved by the provincial Company Registration regulatory authority before they can be used.

If the name of the company is to be its incorporation number, for example 123456 N.B. Ltd; a New Brunswick name search report, is not required and the number will be assigned at the time of incorporation.

Step 2 Filing Articles of Incorporation

Once you've reserved a company name, you can proceed to register your company and file articles of incorporation. Articles of incorporation are legal documents that establish your business, and must be approved by Alberta registries office before you do business under that business name.

If your articles of incorporation meets the current legislated requirements established by the New Brunswick Business Corporations Act, the New Brunswick Corporate Affairs Branch, will process the request and issue you a New Brunswick certificate of incorporation.

Step 3 Your Documents
